Terms of Service

1. Acceptance of Terms

By accessing or using PowderFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Powder Flow LLC (DBA PowderFlow Systems).

2. Description of Service

PowderFlow is a cloud-based workflow management platform designed for powder coating businesses. The Service provides tools for job tracking, scheduling, inventory management, customer relationship management, time tracking, analytics, and integrations with third-party services.

3. User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription and Payment

The Service is provided on a subscription basis. By subscribing, you agree to:

  • Pay all applicable fees as described in your subscription plan
  • Provide valid payment information
  • Authorize recurring charges on a monthly or annual basis
  • Accept that fees are non-refundable except as required by law

We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt the Service
  • Use automated means to access the Service without permission
  • Resell or redistribute the Service without authorization
  • Use the Service to harm or exploit minors

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Powder Flow LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of your data but grant us a license to use it solely to provide the Service.

7. Your Data

You retain all rights to the data you submit to the Service. You grant us a limited license to:

  • Store, process, and display your data to provide the Service
  • Create backups for data protection
  • Generate anonymized, aggregated analytics

You are responsible for ensuring you have the right to submit any data to the Service.

8. Third-Party Integrations

The Service may integrate with third-party applications (e.g., QuickBooks, Stripe, Asana, Twilio). Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWDER FLOW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Powder Flow LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Upon your request
  • Discontinuation of the Service

Upon termination, your right to use the Service ceases immediately. You may export your data for 30 days after termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Utah.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.
